Election of Directors at KingJims Shipping
KingJims Shipping takes immense pride in its dynamic and highly skilled Board of Directors, whose leadership and guidance are instrumental in shaping our corporate vision and steering our strategic initiatives. As per our Articles of Incorporation, we appoint nine Directors, which includes three Independent Directors, each serving a three-year term. The election of Directors at KingJims Shipping adheres to the candidate nomination system as outlined in Article 192-1 of the Company Act and the Articles of Incorporation of the Company.
Election of Directors in 2023
Nomination and Candidates:
(1) The nomination period for Director candidates was open from February 20 to March 1, 2023. Any shareholder holding 1% or more of the company’s outstanding shares was entitled to submit a roster of Director candidates. During this nomination period, no shareholder submitted Director candidate rosters.
(2) On March 14, 2023, the Board passed a resolution to nominate a roster of nine Director candidates, including three Independent Directors. The professional knowledge, experiences, and diverse background of all director candidates were in line with the Company’s future development needs. The qualifications of three Independent Director candidates met the requirements of the “Regulations Governing Appointment of Independent Directors and Compliance Matters for Public Companies.
Election Results
At the 2023 Annual Shareholders’ Meeting, KingJims Shipping successfully elected its nine Directors, including three Independent Directors. The composition of our Board reflects a commitment to a diverse and skilled leadership team dedicated to steering our company towards a prosperous and ethical future.
